Please join the Nonprofit Organizations Committee for a program on the topic of “Donor-Advised Funds After Notice 2017-73.” Our presenter is Reynolds Cafferata of Rodrigues, Horii, Choi & Cafferata LLP. In late 2017, the IRS published Notice 2017-73 on donor-advised funds (DAFs). The notice provided interim guidance on use of DAFs to satisfy donor pledges, and sought comments on a number of DAF issues that are expected to be addressed when regulatory guidance is eventually published for Sections 4966 and 4967 of the Internal Revenue Code. On September 20, 2019, the Agribusiness Committee traveled to the San Luis Joint-Use Complex in Gustine, California. The Joint-Use Complex serves the State Water Project and the Federal Central Valley Project and includes the San Luis Reservoir, O’Neill Dam and Forebay, Gianelli Pumping-Generating Plant, B.F. Sisk Dam, Dos Amigos Pumping Plant, and a 103-mile portion of the California Aqueduct. In a malpractice action brought by a 50% member of an LLC against the LLC’s outside legal counsel, the California Court of Appeal, Second Appellate District, confirmed a lower court’s holding that the member did not have standing to pursue her claims of (among other things) malpractice and breach of fiduciary duties for services provided by such legal counsel. Additionally, the court held that the member had no basis for claiming an attorney-client relationship with her, which might otherwise have precluded the attorneys from advising the company in a manner adverse to her personal interests.
