The authors describe the effect of the "IVI Exclusion" on the ability of a debtor-in-possession, bankruptcy trustee, or trustee appointed to act on behalf of an insured company’s creditors to recover damages caused to a company by its board of directors under a D&O policy, illustrate the issues by reporting on two recent cases that reached conflicting results, and recommend prophylactic measures for consideration by counsel to companies.
