The last year has seen a boom in special purpose acquisition companies (SPACs) as an alternative to IPOs. A SPAC transaction raises unique tax considerations including compensation issues, 368 mergers and acquisitions, utilization of losses under 382, state and local tax and tax treatment of transaction costs. As many SPACs operate offshore, they may also implicate international tax issues, such as PE issues, CFC, PFIC and antiinversion concerns and taxes on formation. Speakers

Roger Royse is a partner in the Palo Alto office of Haynes and Boone, LLP and practices in the areas of corporate and securities law, domestic and international tax, mergers and acquisitions, and fund formation. He works with companies ranging from newly formed tech startups to publicly traded multinationals in a variety of industries.

Roger is a Fellow of the American College of Tax Counsel and former chair of several committees of the American Bar Association Sections of Business Law and Taxation. Roger has been an instructor or professor of legal, tax and business topics for the Center for International Studies (Salzburg, Austria), Golden Gate University School of Law and Stanford Continuing Studies.

Roger is a nationally recognized authority on agtech – the technology of food production – and the legal considerations for companies in this industry. Roger is also the author of Dead on Arrival: How to Avoid the Legal Mistakes That Could Kill Your Startup and has been interviewed and quoted in the Wall Street Journal, Forbes, Fox Business, Chicago Tribune, Associated Press, Tax Notes, Inc. Magazine, Nikkei Asian Review, China Daily, San Francisco Chronicle, Reuters, The Recorder, 7X7, Business Insurance and Fast Company.

Roger is also a Certified Public Accountant (California non-Attest).

John Forry is Senior Advisor to Family Offices and other Private Investors. He is Managing Member of East West Advisory LLC, as well as Advisor to a top-10 U.S. advisory and accounting firm, in international finance, investment and taxation.

During over 45 years of practice, he has been Senior Partner with law firm Morgan, Lewis & Bockius, National Partner with Ernst & Young, and graduate school Professor in the U.S., Brazil, China and France.

He is a graduate of Amherst College and Harvard Law School and has authored six books and approximately 50 articles on international finance, investment and taxation.

Kevin Hasegawa is a partner with Moss Adams LLP and has practiced public accounting since 1988 including more than 18 years with Big Four Accounting firms.

He provides compliance and consulting services related to corporate income tax, acquisitions and divestitures, international taxes, and state and local taxes with a focus on ASC 740 accounting for income tax issues.

Kevin has spent the majority of his career working with a wide range of companies ranging from venture-backed start-ups to large multinational firms. He serves clients in various industries with a focus on technology and life science industries.
