Webinar: IP Issues in M&A Transactions

This program is part of a collaboration between the IP Law Section and the Business Law Section, where we select a topic where or on which IP and business law attorneys work together, such as M&A transactions, and pair practitioners from each section to present on the topic.  M&A transactions are complicated and typically involve many specialist attorneys, including business attorneys and IP attorneys.  In many instances, the specialist attorneys work in silos, advising on their “part” of the deal and sometimes not fully appreciating or comprehending the other parts. In this program, we present an M&A transaction through the lens of a business attorney and an IP attorney, starting with the term sheet, and continuing to IP and business due diligence, preparing the transaction documents, negotiating IP representations and warranties, typical closing conditions, and concluding with typical business and IP integration challenges, and potential solutions. After this webinar, attendees should have a holistic view of IP issues in M&A transactions and a solid understanding of how business and IP attorneys can work together and support each other, and their common client, in these types of deals.

John Pavolotsky practices in Stoel Rives’ Technology & Intellectual Property group, where he focuses on data privacy, security matters, complex technology transactions. On privacy and security matters, John advises a broad range of clients on general compliance, use of new(er) technologies such as artificial intelligence (AI), data incidents, and breach response. On technology transactions matters, John assists clients with technology licensing, collaboration and joint development agreements, and cloud (XaaS) services agreements, among others. In addition, John advises clients in privacy, security, and intellectual property matters in mergers and acquisitions (M&A) transactions. John is the Chair of the IP Section of the California Lawyers Association.

Shushan Barsegyan is the founding shareholder and a managing attorney of Full Circle Business Law, PC.
She received her J.D. from the University of San Diego School of Law and was admitted to the California State Bar in 2012. Prior to law school, Shushan attended the University of Southern California Marshall School of Business, where she received a Bachelor of Science degree in Business Administration with a concentration in Strategic Management. Shushan counsels businesses in various industries, like technology, real estate, and manufacturing. Her experience includes representing clients in M&A deals including structuring stock and asset purchase and sale transactions, shareholder buyouts, and stock redemptions. Shushan is a member of the Business Law and IP Sections of the California Lawyers Association.
