Business Law News ISSUE 3, 2025, WINTER 2025

LETTER FROM THE EDITOR

Written by Daniel A. Lev Editor

As we move towards the end of 2025 and prepare for our annual review submissions, this issue of the Business Law News (BLN) includes a variety of articles of interest to our readers:

  • Robyn Frick and April Vincent explore common pitfalls in drafting contracts and provide useful tips on how attorneys can avoid potential missteps.
  • As part of his continuing examination of important ethical issues, Neil J. Wertlieb’s article looks at the duties attorneys owe to client affiliates and other constituents.
  • Chiara Imelda Wirz’s article examines the role AI is now playing in boardrooms across America and the effect the use of AI agents is having on the duty of care of directors.
  • Leonard L. Gumport’s article provides a summary of some of the recent developments in the landmark Purdue Pharma chapter 11 case which continues to shape how courts handling mega-chapter 11 cases will deal with the issue of third-party releases.
  • Finally, the BLN is pleased to publish Paul J. Pascuzzi’s recognition of Susan H. Mac Cormac as the recipient of the Business Law Section’s 2025 Roland E. Brandel Lifetime Achievement Award.

The BLN always is seeking articles of general interest to business law practitioners. Publishing in the BLN remains a terrific opportunity both to influence the discourse in the areas in which you practice and to market yourself and your skill set. In addition, if your article was written specifically for the BLN (and not as a work project), you can get CLE credit for the time you spend writing it. If you have prepared materials for an in-house training or other CLE presentation, for example, you might be able to turn that into an article that our readers would appreciate. Our submission guidelines are available on the CLA website, here: https://calawyers.org/section/business-law/publications/business-law-news/.
