This program will focus on operating agreement provisions and other guidance on dealing with unexpected issues that can arise after the formation of a limited liability company. The program will give attorneys tools to discuss with clients when forming or dealing with these situations.

Rachelle Cohen is a principal in Kehr, Schiff, Crane & Cohen, LLP in Los Angeles. Her practice focuses on advising on legal ethics issues and assisting clients with their business transactions. Rachelle is a member of the California Lawyers Association (CLA) Ethics Committee. She also is the Vice Chair of the Los Angeles County Bar Association Professional Responsibility and Ethics Committee. She has been a Vice Chair of the Executive Committee of the CLA Business Law Section and a Chair of the CLA’s Partnerships and Limited Liability Companies Committee and Corporations Committee. Rachelle speaks frequently and has written about legal ethics issues and corporate and transactional issues, and has been a lecturer at the USC Gould School of Law.

Bunnie Poullard is a senior attorney in the Firm’s Corporate and Entertainment practice groups.
Bunnie represents clients in a wide variety of corporate and transactional matters, including mergers and acquisitions, financings, joint ventures, and other operational matters. Bunnie helps businesses, business owners, and investors navigate the acquisition and sale process, and she assists private equity funds in the acquisition and disposition of assets or equity positions in portfolio companies. Bunnie advises companies throughout the business life cycle, from structuring and entity formation to general corporate governance, venture capital financings and exit. She has significant experience with limited liability companies, including the negotiation of operating agreements and the admission and departures of partners and investors.
In addition, Bunnie negotiates celebrity endorsement transactions as well as joint ventures in sports, media and entertainment.
Bunnie is fluent in Spanish and conversational in Brazilian Portuguese and Italian. In her free time, Bunnie enjoys attending classic car shows, participating in service activities with the Junior League of Pasadena, and serving as a mentor to first year law students at Pepperdine School of Law.
