Selected Developments in Business Law: Secured Transactions in California Commercial Law Practice (January 2026 Update)

The discussion of the parol evidence rule and statute of frauds at §2.11 has been revised and updated.

 California courts have held that the statute of limitations set forth in the Code of Civil Procedure will apply unless the Commercial Code sets forth a specified statute of limitations. See §3.18.

The Commercial Code was amended to remove the driver’s license requirement when a record of a mortgage is to be used as a financing statement. See §3.88.

The Commercial Code was amended to remove the requirement that a record of a mortgage to be used as a financing statement must indicate that it is to be filed in the real property records. See §3.96.

The discussion of the priority of security interests created by a new debtor has been revised and updated. See §4.4.

The discussion of acceleration clauses has been updated to include mention of Guracar v Student Loan Solutions, LLC (2025) 111 CA5th 330. See  §5.4.

The discussion of adhesion contracts has been updated to include discussion of the California Supreme Court’s ruling in Ramirez v Charter Communications, Inc. (2024) 16 C5th 478. See §5.76.

The Guiding and Establishing National Innovation for U.S. Stablecoins Act (GENIUS Act) was enacted. See §§6.1, 6.99.

The discussion of the Rees‑Levering Act was updated to reflect enactment of the California Combating Auto Retail Scams (CARS) Act. See §7.39.

The harvester’s lien requirement that crops or farm products must be grown or produced by a limited partnership was removed. See §8.35.

The chapter on Legal Opinions has been updated to include mention of the 2024 Tribar Report on the 2022 UCC Amendments and its sample opinions. See §§9.1A, 9.27.
