Corporations Committee Issues Reminder Regarding Changes To Statements of Information for CA Corporations and LLCs

The Corporations Standing Committee recently released its reminder for anyone filing a Statement of Information for corporations and LLCs in California.  Beginning January 1, 2022, the form will include a question whether, for LLCs, a manager or member, and for corporations, an officer or director, has any outstanding final judgment issued by the Division of Labor Standards Enforcement or a court of law, for which no appeal therefrom is pending, for the violation of any wage order or provision of the Labor Code. This form change is a result of the change to California Corporations Code Sections 1502, 2117, and 17702.09 made by A.B. 3075 (approved by Governor Newsom, Sept. 30, 2020).

The new forms are available at SOS Entity Forms. It is expected that the online filing system will be updated to have the new form available as of January 1, 2022 (at LLC SOIs online filing and Corporation SOIs online filing).
